This Surprise Web Design Master Service Agreement (“MSA”) is effective as of the effective date of an applicable signed order form (such form an “Order Form” and such date the “Effective Date”) and is by and between Surprise Web Design LLC., an Arizona limited liability company with a place of business at 13954 W. Waddell Rd. Ste.103-#163 Surprise, AZ 85379 (“Surprise Web Design”), and the customer set forth on the Order Form (“Customer”) (each a “Party” and together the “Parties”). In the event of any inconsistency or conflict between the terms of the MSA and the terms of any Order Form, the terms of the Order Form control.
1.1 The terms have the meanings outlined below. If a term is defined and capitalized within this Agreement and is not listed in this Section 1, such term or terms have the meaning so described, which applies throughout this Agreement.
1.2 “Master Service Agreement” or “MSA” shall mean a legal contract that establishes the terms and conditions governing future transactions or agreements between parties. this MSA, including its SOWs, and including any future SOWs executed between the Parties in accordance herewith.
1.3 “Surprise Web Design” or “SWD” shall mean the company Surprise Web Design LLC.
1.4 “Client” shall mean the customer to whom the services from SWD will be provided.
1.5 “Party” or **“Parties” shall mean the either Client or SWD.
1.6 “Services” shall mean those Services (e.g., consultative, implementation, design, programming, installation) to be provided to client by SWD as specified in the applicable SOW.
1.7“Work In Progress” or “WIP” shall mean work that is currently being worked on presented through a prototype accessed via a URL or link provided by SWD.
1.8 “Published Live Online”** shall mean the website is live and able to bring in customers for the Client.
1.9 “Fees” shall mean payment owed to SWD by Client for services rendered.
1.10 “Statement of Work” or “SOW” shall mean an addendum to this Agreement executed by Customer and Provider that specifies the Services to be provided to Customer by Provider, including any additional terms and conditions specific to that SOW.
